Roam Vault provides comprehensive logistics and transportation services, including but not limited to:

• Auto selection and vehicle procurement services
• Freight transport and delivery services
• Supply chain logistics management
• Warehousing and storage solutions
• Logistics consulting and optimization

3. Service Agreement and Quotations

3.1 Quotations

All quotations provided are valid for 30 days unless otherwise specified. Quotations are subject to change based on:

• Changes in fuel costs
• Modifications to service requirements
• Regulatory changes affecting operations
• Market conditions and availability

3.2 Service Contracts

Formal service agreements will be established for ongoing logistics arrangements. These agreements will specify:

• Scope of services to be provided
• Pricing and payment terms
• Performance standards and service levels
• Duration and termination conditions

4. Client Responsibilities

Clients are responsible for:

• Providing accurate and complete information about goods to be transported
• Ensuring proper packaging and labeling of goods
• Compliance with all applicable laws and regulations
• Timely payment of invoices
• Providing safe and accessible pickup and delivery locations
• Obtaining necessary permits and documentation

5. Pricing and Payment Terms

5.1 Pricing

Our pricing is based on current market rates and includes:

• Transportation costs
• Handling and administrative fees
• Insurance coverage (where applicable)
• Any additional services requested

5.2 Payment

Payment terms are typically 30 days from invoice date unless otherwise agreed. We reserve the right to:

• Require advance payment for certain services
• Charge interest on overdue accounts at 1.5% per month
• Suspend services for non-payment
• Recover collection costs and legal fees

6. Liability and Insurance

6.1 Limitation of Liability

Our liability is limited to the declared value of goods or actual loss, whichever is less. Maximum liability per incident is £100,000 unless higher coverage is specifically purchased.

6.2 Exclusions

We are not liable for:

• Consequential or indirect damages
• Loss of profits or business opportunities
• Delays due to circumstances beyond our control
• Damage to improperly packaged goods
• Loss or damage to prohibited items

6.3 Insurance

We maintain comprehensive insurance coverage including:

• Public liability insurance (£10 million)
• Goods in transit insurance
• Professional indemnity insurance
• Motor vehicle insurance

7. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including:

• Natural disasters and extreme weather
• Government actions and regulatory changes
• Labor disputes and strikes
• Acts of terrorism or civil unrest
• Pandemics and public health emergencies

8. Prohibited Items

We do not transport the following items without specific authorization:

• Hazardous materials and dangerous goods
• Illegal substances and contraband
• Perishable goods without proper arrangements
• High-value items without declared coverage
• Items requiring special permits or licenses

9. Data Protection and Privacy

We are committed to protecting your personal information in accordance with UK data protection laws. Our Privacy Policy, incorporated by reference, details how we collect, use, and protect your data.

10. Intellectual Property

All intellectual property rights in our services, systems, and materials remain our property. Clients may not:

• Copy or reproduce our proprietary systems
• Use our trademarks or branding without permission
• Reverse engineer our software or processes
• Share confidential business information

11. Termination

11.1 Termination by Client

Clients may terminate services with 30 days written notice. Cancellation fees may apply for services already commenced.

11.2 Termination by Company

We may terminate services immediately for:

• Non-payment of invoices
• Breach of terms and conditions
• Provision of false or misleading information
• Illegal or unethical conduct

12. Dispute Resolution

12.1 Informal Resolution

We encourage informal resolution of disputes through direct communication with our management team.

12.2 Mediation

If informal resolution fails, disputes will be referred to mediation through a recognized mediation service.

12.3 Arbitration

Unresolved disputes may be subject to binding arbitration under the rules of the London Court of International Arbitration.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any legal proceedings will be subject to the exclusive jurisdiction of the English courts.

14. Amendments

We reserve the right to modify these Terms at any time. Changes will be communicated through:

• Updates to our website
• Email notifications

Continued use of our services after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with any signed service agreements and our Privacy Policy, constitute the entire agreement between the parties.
